These Additional Terms govern rooom, a membership service jointly planned and operated by OND Inc. (“OND”) and Zatsudan Inc. (“Zatsudan”). The LISTEN Terms also apply and these Additional Terms prevail for rooom where they conflict.
Unless otherwise stated, rooom and membership contracts are between the user and OND. OND is responsible for the system, member contracts, payments, refunds, reversals, disputes, system fees, revenue payouts, and user-information management. Zatsudan handles planning, service and community operation, and owner support, but does not owe payment, refund, or revenue-payout obligations unless separately contracted. Material role changes affecting users will be announced in advance.
An “Owner” opens a Room under contract with OND, provides benefits, and receives revenue distribution. A “Member” joins a paid or free Plan. A “Membership Contract” is between a Member and OND. “Sales” are amounts actually paid after adjustments. “rooom Distribution” is Sales less fees, refunds, reversals, offsets, and other permitted deductions. “Available Balance” means available JPY in the connected account under Article 8 of the LISTEN Terms.
A contract forms when joining is completed and accepted by OND, subject to successful payment for paid Plans. OND receives payment and handles payment-related matters. The Owner provides the displayed benefits under its contract with OND. OND pays the rooom Distribution after deductions. Zatsudan supports planning, operations, community, and inquiries.
Owners must generally be at least 18, pass review and processor verification, and keep identity, address, contact, payout, tax, and other required information accurate. The joint operators may reject or discontinue a Room that does not meet review standards.
Owners may propose Plan pricing, billing intervals, content, and conditions within permitted parameters. Material information must be accurate and clear, and adverse changes require reasonable notice. The joint operators may require correction or suspension of unlawful, infringing, or misleading Plans.
The final confirmation screen identifies OND as seller and displays Plan content, price, billing interval and timing, trial terms, service period, automatic renewal, cancellation method and deadline, and refund terms. Paid Plans automatically renew at the displayed interval. Members may stop future renewal through the designated procedure and ordinarily retain access through the paid period. Failed payment may result in retry, suspension, or termination. Prorated refunds are unavailable except where required by law, benefits were not delivered, or OND reasonably approves.
Owners pay OND 14.5% of rooom Sales, inclusive of consumption tax, normal payment processing, and normal payout costs to Japanese bank accounts. No additional fee is charged for a normal payout. The fee is calculated per final adjusted charge in Stripe’s smallest currency unit and displayed in records. Full refunds reverse the corresponding fee; partial refunds reverse or adjust the proportional fee, subject to disclosed unrecoverable costs permitted by law. This fee applies only to rooom Sales.
Article 8 of the LISTEN Terms applies, and normal payout processing begins on the 15th of each month at 03:00 JST. Revenue in the same connected account is combined with paid-episode, gift, event-ticket, and other LISTEN Available Balance for minimum, carryover, and automatic-payout decisions, while rooom amounts and fees remain separately calculated and displayed. Owners cannot request a payout of rooom revenue alone.
OND is the contractual contact for membership, payment, cancellation, refund, and dispute matters. Owners must cooperate with factual checks and member support. OND may refund or reverse payments where legally required, benefits were not supplied, fraud occurred, or reasonably necessary. Related distributions, fees, and costs may be reversed, deducted, offset, or recovered and will be shown in records.
Owners must accurately describe Plans, deliver displayed benefits, avoid false or infringing content, use member information only for legitimate Room operation, respond sincerely to issues, and comply with law, the LISTEN Terms, these Additional Terms, and applicable guidelines.
For suspected fraud, infringement, member disputes, refund or chargeback risk, legal violations, processor requests, or other reasonable grounds, the joint operators may stop enrollment or payment, suspend publication, hold payouts, request documentation, or suspend or close a Room.
Owners may close a Room through the designated procedure and must appropriately notify existing Members, end active Memberships, and address paid-period benefits. Settlement provisions survive closure. OND pays the remaining amount after the necessary settlement period; post-closure data handling follows separately displayed conditions.
Owners are responsible for taxes on their revenue. The joint operators are not responsible for an Owner’s tax treatment except as required by law, and OND may request necessary tax information or documents.
The joint operators may change rooom’s features or conditions. Material changes and termination will be announced with reasonable notice except where law or urgency makes this impracticable.
OND may make necessary and reasonable changes due to processor or bank costs, operations, features, market conditions, or legal or tax changes. Adverse changes will ordinarily be announced at least 30 days in advance and apply only to payments completed after the effective date. An Owner who does not agree may close the Room before that date.
OND and Zatsudan handle information under the Privacy Policy. Joint-use data, users, purposes, and controller are disclosed there. OND is the primary controller and contact.
OND handles membership-contract and payment obligations. Owners are responsible for providing displayed benefits and for harm attributable to their failure or infringement. Zatsudan is responsible for its planning, operations, community, and support functions, while OND retains payment, refund, and payout obligations. Article 13 of the LISTEN Terms governs liability.
Article 15 of the LISTEN Terms applies to amendments.
Article 16 of the LISTEN Terms applies.
The effective time is September 1, 2026 at 00:00 JST. The 14.5% tax-inclusive fee applies to new payments and renewal payments confirmed by Stripe at or after that time. It does not apply retroactively to payments confirmed by August 31, 2026 at 23:59:59 JST or existing available balances. No new system or normal payout fee is charged against those balances. The former 0.25% plus JPY 250 manual-payout fee ends at the effective time, and normal automatic payouts thereafter carry no additional payout fee. OND and Zatsudan will notify Owners in advance of the change, reasons, timing, and application to renewals.
